The Dow/DuPont merger is one step closer to becoming finalized.

European Commission officials Thursday approved the sale of part of DuPont’s crop protection business to FMC Corporation and DuPont’s purchase of FMC’s health and nutrition business.

The transition includes FMC acquiring DuPont’s global chewing pest insecticide portfolio, its global cereal broadleaf herbicides and a significant portion of DuPont’s global crop protection R&D capabilities. DuPont will acquire FMC Health and Nutrition and receive $1.2 billion in cash.

Dow and DuPont expect the merger to be finalized by next month. Once complete, Dow and DuPont plan to split the new company into three with dual headquarters in Midland, Mich., and Wilmington, Del. Dow AgroSciences near Indianapolis, Ind., will become a global business center.
